Consultancy

Our consultants work with business owners and managers to define realistic strategic objectives and achieve better results through the following services:

Company valuations

At Kemen Consulting we apply multiple valuation methods and check them against one another to arrive at a realistic valuation of a company. We use the discounted cash flow as our basic appraisal method, in addition to determining value by comparing listed companies and private transactions when applicable.

Financial due diligence

The aim of our due diligence advisory is to help our clients during the process of structuring a transaction, negotiate contracts and later monitor the investment made regarding all aspects agreed upon at the time of purchase, both from the seller and the buyer.

Mergers and acquisitions

Kemen Consulting’s capabilities and experience in this area include:

Acquisitions:

  • Acquisition of companies by purchase, merger, capital increase, etc.
  • New investments in any stage in the life of a company.

Structural modifications:

  • Mergers, split offs, global assignment of assets and liabilities
  • Company and group restructuring

At Kemen Consulting we work with our clients to develop strategies that deliver results, helping companies define their long-term goals and strategies to achieve them. We help our clients develop customized plans of action, specifying supervisors and deadlines.

Our work is structured in the following phases:

Analysis and diagnosis

Analysis and diagnosis of the current situation provide the palpable pertinent information needed to make decisions and draw up a viability plan.
We perform a diagnosis to see whether the conditions are in place for the company’s future viability.

Study and elaboration of the viability plan

The viability plan identifies the necessary conditions for a company’s viability, details the hypotheses underlying the projected financial statements, and projects them for a period of no less than five years. The plan also identifies any significant weaknesses that might affect the future development of the viability plan.

Negotiation

After the viability plan is drawn up, we initiate negotiations with the appropriate stakeholders to ensure adherence to the proposed agreement. The team will determine the order of negotiations with creditors and other stakeholders including workers, administration and clients.

In a dispute the advice of an independent expert is essential for a favourable outcome. At Kemen Consulting we provide advisory services as independent experts in the economic, financial and accounting realms, presenting our appraisal reports as evidence provided by the parties or as evidence required by the court.

Our services include:

  • Preparation of appraisal reports as independent expert to clarify the economic and financial consequences of the dispute.
  • Quantification of damages.
  • Counter-reports or evidence to the contrary to refute an earlier report presented by the other party.

Business-bank negotiation is the process of dealings with companies and financial institutions to achieve the best conditions for both parties. From the business perspective, negotiations with banks must be planned in advance for successful outcomes.

At Kemen Consulting we accompany our clients in their dealings with financial institutions, providing them with a negotiating tools they need to secure their interests.

Kemen Consulting helps clients draw up the documentation required to apply for all types of grants and subsidies.

Our services include:

  • Preparation of technical reports with details of project phases and tasks.
  • Presentation of economic reports justifying the profitability of the projects eligible for subsidies.
  • Preparation of reports vouching for compliance of conditions for grant eligibility.

Family businesses often seek answers to questions concerning business succession. Kemen Consulting helps companies transition from one generation to the next by implementing family protocols that lay down rules agreed upon by the family-business owners regarding inheritance by descendants.

On 29 December 2018, the Official State Gazette (BOE) published Law 11/2018 on Non-Financial Information and Diversity, bringing the European Directive into Spanish law.

This law requires certain companies to file an annual Statement of Non-Financial Information (EINF, in its Spanish initials) containing information on environmental, social, and personnel issues, as well as respect for human rights and the fight against corruption and bribery.

The EINF must be submitted with the annual accounts and audited annually by an independent third party.

At KNC Kemen Consulting we are experienced in helping clients prepare the EINF, working with them to analyse the issues included in the document and present the final draft.
